Terms and Conditions for OEE’s Online Lean Training

These terms and conditions apply to the provision of online training services between OEE Consulting Ltd (OEE) and the customer (you, your) and they prevail over any terms and conditions of the customer.

Consumer contracts

Nothing in these terms will affect the statutory rights of the consumer.

Online training – means a training course(s) provided by OEE that is/are supplied online (accessible via the internet) through an OEE website;
You, your – the individuals or employees of the company, firm, partnership or private citizen who are accessing the online training;
Charges – the amount of the course charges including any appropriate taxes for provision of the online training.

The Terms

These terms and conditions are the entirety of the contract between you and OEE;  no representations made by any OEE staff or officers forms part of the contract unless made in writing.

Charges

You will pay the charges (which will be quoted for and processed only in £ (pounds) sterling) for the online training in advance and prior to commencing the online training.  Subject to these terms and conditions and your acceptance of them; you will be given access to the online training.
Payment can be made by credit/debit card or via invoice and payment must be received by OEE before an access date will be given.
A booking may be made over the telephone or online.
You may request a company invoice.  In such an event OEE will require the following information:

Your name
Your email addresses in order that access to the training can be given.
Company Name
Company Address
Name of the person the invoice needs to be sent to (if not you)
How would you like to receive the invoice – via Email or Post? Please specify: Email address for the invoice to be sent
Postal address for the invoice to be sent
Is any purchase order required?

Once OEE has received all the requested information an invoice will be raised (please allow seven working days for processing) and sent out as per your requirements.
For all bookings, confirmation of your booking will be sent by email within 3 days of receipt.  Either written confirmation or payment will be deemed to be acceptance of these terms conditions and will constitute a legally binding contract between OEE and you.
Both you and your employer are jointly and severably liable for the payment of the charges.
We reserve the right to alter the charges from time to time.

Access to the Online Training

Upon receipt of payment, OEE will send you an email containing the URL, username and password enabling you to access the particular online training booked by you.  This training will be accessible to you for a period of 90 (ninety) days from the date of this email and you must complete the training within this period otherwise your access will lapse.  Once lapsed, OEE cannot reinstate access without further charges being incurred by you.
OEE accept no liability if you cannot access the online training due to firewalls, other hardware or software issues within your organisation or any other system used by you.  In the event that it is not possible for you to access the training, OEE may agree to a refund.  Please see Cancellation and Refunds below.
Access to the training is via the internet or such other electronic means of access or communication that we may reasonably require from time to time.  The quality of the online training may depend on the quality of the line used to access the training and no warranty is given by OEE.
OEE will make all reasonable efforts to ensure that the online training is available but reserves the right to vary or remove the training without notice.  In the event that OEE withdraws the training its liability is limited to refunding the charges paid for the particular training.
Any username and password is personal and confidential to you.  OEE accept no liability in the event that these details are lost by you and then accessed by someone else. If we suspect that any password is being used by anyone other than you, or an unauthorised user, the username and password details may be cancelled without notice. In the event of cancellation for this reason we reserve the right to refuse you and your company future access to the OEE online training system.
The online training module is provided for training and reference only.

Forums within OEE online training

In the event that you access and use the Forum functionality within the OEE online training, OEE accepts no responsibility for the content posted within the forum and this content in no way reflect the views of OEE or any of its employees.  These forums are not moderated by OEE but if you become aware of inappropriate comments and make OEE aware, we reserve the right to remove them and individuals posting such content may be banned.

The use of Cookies

The OEE online training uses cookies to amongst other things track your progress during the training course and cookies are therefore an essential element for accessing the training.  When you access the online training you are therefore not offered the option to switch off cookies and this is in accordance with the exemption given in EU Directive 2009/136/EC Clause 66.  Please refer to the Directive for full details.

Copyright

The right to electronically display the online training is limited to you.
All online course material is OEE copyright unless stated otherwise.  Neither the whole nor any part of the online training may be reproduced in any form, distributed or used for any purpose without the written consent of OEE.
Except as permitted by these terms and conditions, you are prohibited from downloading, storing, reproducing, transmitting, displaying, copying or distributing the online training.

Cancellation and Refunds

You may cancel your booking on the condition that you have given OEE prior notice in writing to OEEtraining@OEEuk.com or our postal address above and provided that you have not activated your access to the online training.
In the event that you comply with this above condition, OEE will cancel your access and will issue a refund of the charges.  OEE reserve the right to charge an administration fee of 10% for refunds.  Once OEE has implemented it, cancellation of access to the online training will have immediate effect but refunds may take up to 30 days to be processed.
In the event that the training has been activated at all (whether by you or someone else) no refund will be due.

Liability

OEE’s liability to you under or in relation to your booking and the online training arising (whether from an action in contract law, tort (including negligence) or otherwise) shall be limited as follows:
(i) OEE shall not be liable to you in respect of any loss of profit, loss of anticipated savings, loss of goodwill or injury to reputation, loss of business opportunity, loss suffered by third parties or any form of indirect, consequential or special loss;
(ii) OEE’s total liability to you shall be limited to the charges paid by you.

Third Parties

No term of any contract between us arising from these Conditions is intended to confer a benefit upon or be enforceable by any third party whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

Miscellaneous

This agreement is covered by English Law and you consent to the exclusive jurisdiction of the English Courts in all matters regarding it.
A waiver of any breach of any of these terms shall not constitute a general waiver of such terms and conditions or of any subsequent act or breach.
OEE may change the terms upon which we make online training available from time to time and without notice to you.  Any subsequent bookings you may make will be subject to the latest terms and conditions.

Force Majeure

No failure or omission by OEE to comply with these terms and conditions shall give rise to any claim as a breach of terms and conditions if such failure or omission arises from something reasonably beyond OEE’s control.

Privacy and Data Protection
